LAWS OF MARYLAND.

establishing a public park on the grounds dedicated for the
purpose, and to be conveyed to this Corporation by William
H. Eder, and which is located between Elkton Cemetery and
the town sewer or a few yards east of the Park Stables in the
town of Elkton, and along the north side of Big Elk
Creek, and bounded on the north side by the properties belong-
ing to the estate of the late Dr. H. H. Mitchell, Mrs. Hannah
J. R. Cresswell and the estate of R. C. Lewis, John Frazer,
Henry M. McCullough, Dr. John H. Jamar, William H. Eder,
and others.

Directors and
officers.

SEC. 2. And be it enacted, That the affairs of the association
shall be under the control of a Board consisting of eleven
managers to be elected by ballot at the annual meeting of this
company by the members of this association, which members
are declared to be the incorporators above named and their
successors elected in accordance with Section four of this
Charter, each member thereof having one vote; said Board of
Managers shall continue in office one year from the date of
their election or until their successors are chosen, and all shall
have full power to perform such duties as are herein provided,
or by the by-laws adopted by this association for its future
government; the said Board of Managers shall elect from their
own number a president, vice-president, secretary and treas-
urer, and an executive committee of three members, and
appoint a superintendent from among the charter members of
this company or otherwise provided by the by-laws, whose
duties shall be defined by the by-laws to be enacted.

Annual elec-
tion.

SEC. 3. And be it enacted, That the annual meeting of this
company shall be held on the first Monday of April of each
year, when the members of this association shall meet at some
convenient place for the purposes of electing eleven managers
for the transaction of such business as may be necessary for the
improvement of said grounds and park and until such election
is held John M. Tucker, William T. Warburton, William
S. Evans, Charles B. Finley, Henry M. McCullough, George
R. Ash, William D. Bratten, Manly Drennen, William H.
Eder, I. D. Davis and L. Marshall Haines, are hereby ap-
pointed managers of this company.

Vacancy.

SEC. 4. And be it enacted, That when any of the members
of this association named in this charter of incorporation
shall die or remove from the town, the managers, by a majority
vote, shall select the successor or successors, and in this way
perpetuate the succession.

SEC. 5. And be it enacted, That the said Board of Managers
