LAWS OF MARYLAND.

CHAP. 208.

States, or with any by-laws or resolutions of the stockhol-
ders, adopted at a general meeting, as the said board of di-
rectors may deem necessary and useful; and shall be com-
petent to the full and beneficial exercise of, and carrying
into effect the powers above enumerated, and all other
powers granted by this act, and vested in the corporation
hereby created.

SEC. 5. And be it enacted, That the stockholders, at the
annual, or any other general meeting, held after ten days
public notice, as directed in the third section, at which the
owners of a majority of the whole number of shares of
stock shall be present or represented, shall have power to
alter or repeal any by-laws, rules, resolutions or ordinances
made by the directors, and make such new by-laws, rules
and ordinances as a majority of the votes present shall ap-
prove of, which shall be binding on the president and di-
rectors; and shall have power, with the actual assent of the
owners of a majority of the whole number of shares of
stock, to remove from office the president or any director,
and to dismiss any officer or agent in the employ of the
company, and elect or appoint another to fill the vacancy
so made; and with such assent of such full majority, may
provide for the selling or otherwise disposing of all the
property, estate and effects of the company, and dividing
the proceeds among the stockholders, and for dissolving
the corporation created by this act.

Banking forbid.

Right to repeal.

SEC. 6. And be it enacted, That said corporation is here-
by prohibited from issuing any note, certificate, device or
evidence of debt, to be used as currency; and that the
right is hereby expressly reserved to the General Assembly
of Maryland, to repeal this act at its pleasure.

In force.

SEC. 7. And be it enacted, That this act shall endure for
thirty years from the date of its passage, if not sooner re-
pealed by the General Assembly.

CHAPTER 208.

Passed Mar. 8,
1841.

A supplement to the act, entitled an act to encourage the
Emigration of the Free People of Color of this State,
passed at December session, eighteen hundred and thirty-

nine, chapter five, so far as the same relates to Balti-
more County.

Transfer of
power. &c.

Be it enacted by the General Assembly of Maryland,
That all the power and authority given to the orphans'
court for Baltimore county under the act passed at Decem-
