    This Indenture made this
   tenth day of June in the year of our
  Lord one thousand eight hundred
 and fifty six between James
Sykes of Howard County in the State
                               of Maryland of the first part and William Woodward and
                               William H. Baldwin Junior both of the City of Baltimore in the
                               State aforesaid of the second part:      Whereas the parties
                               hereto of the second part being Copartners in business under the firm
                               of William Woodward and Company have contracted and agreed
                               to furnish raw material and to advance money and loan negotiable
                               paper to the said James Sykes to an amount not exceeding at
                               any one time the sum of five thousand dollars to enable him
                               to carry on the two Factories now occupied by him the one at
                               Sykesville in Howard County and the other at Oakland Carroll
                               County; with the understanding and agreement on the part of said
                               Sykes that all goods manufactured at both of said Factories
                               are to be consigned to the said firm of William Woodward and
                               Company and by them sold and the nett proceeds of such sales
                               from time to time placed to the credit of said James Sykes
                                  And whereas it is also the agreement and understanding of the
                               parties aforesaid that the arrangement shall continue so long
                               as the said James Sykes shall carry on the Factories aforesaid;
                               or until terminated by either party's giving the other sixty days
                               notice in writing.      Also that in case the said William
                               Woodward and William H. Baldwin shall hereafter change
                               their firm by introducing a new partner or otherwise.   And the
                               new firm should agree to continue the above recited arrangement
                               this Mortgage shall enure to the benefit of such new firm
                               And whereas for the purposes of securing to the said firm of
                               William Woodward and Company and to my new firm or
                               Copartnership that may hereafter be formed which may continue
                               the above arrangement the payment of all raw material furnished
                               and all advances or loans of Cash and negotiable paper not
