IN THE CASE OF A LIMITED LIABILITY COMPANY, IS AN 2. IN THE CASE OF A PARTNERSHIP, IS A PARTNER; AND 3. IN THE CASE OF A CORPORATION, IS A DIRECTOR, (III) HAS DIRECT CONTROL OVER THE FISCAL MANAGEMENT OF - 1099 -
