WHEREAS, the attached Resolution, (Exhibit B), was introduced and passed by
the Council of the Town of Smithsburg on November 4, 1997 to accept the
aforementioned Petition; and

WHEREAS, a majority of the voters in the general election of the Town of
Smithsburg, held on May 12, 1998, voted in favor of the amendment of the Charter of
the Town of Smithsburg as set forth in Exhibit A; and

WHEREAS, the results of said election have been certified by the Chairperson
of the Smithsburg Election Board as evidenced by attached Exhibit C; and

WHEREAS, the results of the general election including the passage of the
herein referenced Resolution were publicly proclaimed in the Herald Mail newspapers
on May 13, 1998; and

WHEREAS, it is the intent of this Proclamation and Resolution to confirm and
ratify the Charter amendment which was passed by referendum on May 12, 1998.

NOW, THEREFORE, be it RESOLVED and PROCLAIMED that "Registered
Voters Petition 97-01" which is attached as Exhibit A of the "Resolution Regarding
"Registered Voters Petition 97-01" and attached hereto as Exhibit A, was passed and
adopted as a charter amendment to the Charter of the Town of Smithsburg by a
majority of the qualified voters of the Town on May 12, 1998; and

Be it further RESOLVED and PROCLAIMED that this Resolution, by its
recording among the Acts, Ordinances and Resolutions which are kept of record in the
Clerk's Office for the Circuit Clerk for Washington County, Maryland, shall be
considered as a confirmatory public proclamation of the passage of the
aforementioned charter amendment and a ratification that the effective date of said
charter amendment was to be thirty (30) days from May 13, 1998.
