(1)     The name of each party to the articles of merger;

(2)     The name of the successor and the location of its principal office in the
State or, if it has none, its principal place of business; and

(3)     The time the articles of merger are accepted for record by the
Department.

(b)     In addition to any other provision of law with respect to recording, the
Department shall send one [of the certificates of merger] CERTIFICATE EACH to the
clerk of the circuit court [of] FOR each county [in the State] where[:

(1)     The principal office of a merging limited liability company, limited
partnership, corporation, or business trust is located; and

(2)     The] THE articles of merger show that a merging limited liability
company, limited partnership, corporation, or business trust other than the successor
owns an interest in land.

(c)     On receipt of [the] A certificate of merger, [the] A clerk promptly shall
record it with[:

(1)     The charter records, limited liability company records, or limited
partnership records, if it relates to the location of a principal office; and

(2)     The] THE land records[, if it relates to an interest in land].

(j) (1) The Department shall prepare certificates of merger [which] THAT
specify:

(i) The name of each party to the articles;

(ii) The name of the successor and the location of its principal office in
this State or, if it has none, its principal place of business; and

(iii) The time the articles are accepted for record by the Department.

(2)     In addition to any other provision of law with respect to recording, the
Department shall send one [of the certificates] CERTIFICATE EACH to the clerk of the
CIRCUIT court [of] FOR each county [in this State, except a county where the articles
will be recorded,] where[:

(i) The principal office of a merging business trust, corporation, or
limited liability company is located; and

(ii) The] THE articles show that a merging business trust, corporation,
or limited liability company other than the successor owns an interest in land.
