(a)     The Authority consists of [5] 7 members,:

(1) 1 of whom shall be [nominated] APPOINTED by the Mayor of Baltimore
City, WITH THE ADVICE AND CONSENT OF THE SENATE; AND THE REMAINING

                         (2) 6 OF WHOM SHALL BE appointed by the Governor, with the advice and

consent of the Senate. In making appointments to the Authority, the Governor shall
ensure that the geographic areas of the State are represented.

(b)     The Governor shall designate 1 of the members as chairman.

(c)     (1) The term of a member is 4 years;              

(2) The terms of members are staggered as required by the terms provided
for members on [July 1, 1986] JUNE 1, 1993.              

          (3) At the end of a term, a member continues to serve until a successor is
appointed and qualifies.                                                       

(4) A member who is appointed after a term has begun serves only for the
rest of the term and until a successor is appointed and qualifies.

(5) [Upon the end of the term of a member, or upon the resignation or
removal of a member, the Governor shall appoint a member to the Authority with the
advice and consent of the Senate.] UPON THE END OF A TERM, RESIGNATION, OR
REMOVAL OF A MEMBER;                       

(I) IF THE MEMBER WAS APPOINTED BY THE GOVERNOR, THE
GOVERNOR SHALL APPOINT A NEW MEMBER TO THE AUTHORITY WITH THE ADVICE
AND CONSENT OF THE SENATE; AND

(II) IF THE MEMBER WAS APPOINTED BY THE MAYOR OF
BALTIMORE CITY, THE MAYOR SHALL APPOINT A NEW MEMBER TO THE AUTHORITY
WITH THE ADVICE AND CONSENT OF THE SENATE.             

(d)     The Governor may remove a member APPOINTED BY THE GOVERNOR, AND
THE MAYOR MAY REMOVE A MEMBER APPOINTED. BY, THE MAYOR, for
incompetence, misconduct, or failure to perform the duties of the position.

13-704.

(a)      [Three] FOUR members of the Authority constitute a quorum for the
purpose of conducting business.

(b)     Actions of the Authority must receive the affirmative vote of at least [3] 4
members.                                                                                                                         

(c)     The Authority shall determine the times and places of its meetings.

(d)     A member of the Authority:

(1) May not receive compensation; but
