3-111.

(a)     The Department shall prepare certificates of consolidation, merger, share
exchange, or transfer, as the case may be, [which] THAT specify:

(1)     The name of each party to the articles;

(2)     The name of the successor and the location of its principal office in this
State or, if it has none, its principal place of business; and

(3)     The time the articles are accepted for record by the Department.

(b)     In addition to any other provision of law with respect to recording, the
Department shall send one [of the certificates] CERTIFICATE EACH to the clerk of the
CIRCUIT court [of] FOR each county [in this State, except a county where the articles
will be recorded,] where[:

(1)     The principal office of a merging corporation, limited partnership,
limited liability company, or business trust, a consolidating or transferor corporation, or a
corporation the stock of which is being acquired in a share exchange is located; and

(2)     The] THE articles show that a merging corporation, limited partnership,
limited liability company, or business trust other than the successor, a consolidating
corporation, or a transferor corporation owns an interest in land.

(c)     On receipt of [the] A certificate, [the] A clerk promptly shall record it
with[:

(1)     The charter records, if it relates to the location of a principal office; and

(2)     The] THE land records[, if it relates to an interest in land].

(c)     When the Department accepts for record any articles, certificate, or other
document, the Department shall:

(1)     Endorse on the document ITS ACCEPTANCE FOR RECORD AND the
date and time of [its] acceptance [for record];

(2)     Record promptly the document;

[(3) Transmit the recorded document to the clerk of the court of the county
in which the principal office of the limited liability company is located; and

(4)     Issue a certificate that states:

(i) That the document was accepted for record by the Department;
and

(ii) The date and time of the acceptance for record.

(d)     The clerk of the court who receives the document shall record it with the
limited liability company records of the court and return] AND
