limited partnership, to finance, among other things, (i) the
acquisition of a parcel of land containing approximately 5.5
acres, more or less located at Maryland Route 710 and Maryland
Route 10 in the Baymeadow Industrial Park in Anne Arundel County,
Maryland; (ii) a warehouse and offices to be constructed on the
land containing approximately 80,000 square feet of warehouse and
office space; and (iii) the acquisition of any interests in land
necessary or desirable for the building or structure, together
with roads, or other rights of access, utilities and other
necessary facilities (collectively, the "Facility"), to be leased
to Canada Dry Potomac Corporation, a Delaware corporation for use
as warehouse and office space and, possibly, bottling activities,
in order to (1) provide that the Bond and other financing
documents approved and authorized pursuant to Resolution No.
17-82 be amended to change the rate of interest on the Bond;

(2)  authorize the execution and delivery on behalf of the County
of amendments to the Bond and other financing documents;

(3)  generally provide for and determine various matters and
details in connection with the consummation of the transactions
contemplated by this Resolution; and (4) provide that the
findings and determinations made in Resolution No. 17-82 are
hereby confirmed with respect to the amendments authorized by
this Resolution.

Resolution No. 65-85

A RESOLUTION authorizing and providing for the issuance from
time to time by Anne Arundel County, Maryland (the "County"), of
one or more series of its revenue bonds, bond anticipation notes,
notes in the nature of commercial paper and other instruments,
certificates or evidences of obligation as determined pursuant to
this Resolution in a principal amount not to exceed $7,937,500
designated "Anne Arundel County, Maryland Economic Development
Revenue Bonds (Mid-Atlantic Toyota Distributors, Inc. Expansion
Project)," pursuant to the provisions of the Maryland Economic
Development Revenue Bond Act, Sections 266A through 266-1,
inclusive, of Article 41 of the Annotated Code of Maryland (1982
Replacement Volume and 1984 Cumulative Supplement) (the "Act") in
order to loan the proceeds thereof to Rare Properties, Inc., a
Delaware Corporation (hereinafter referred to as the "Borrower"),
for the sole and exclusive purpose of financing (i) the
acquisition by the Borrower of a certain facility consisting
generally of (i) the acquisition of approximately ten (10) acres
of land located at 6710 Baymeadow Drive in the Baymeadow
Industrial Park in Glen Burnie, Anne Arundel County, Maryland
(the "Land"), adjacent to the present warehouse and office
facility of Mid-Atlantic Toyota Distributors, Inc. ("MAT");
(ii) the construction on the land of a 60,000 square foot
warehouse addition and 26,000 square foot multistory office
addition; and (iii) the acquisition and installation of certain
equipment and machinery that is necessary or useful in connection
