(2)  A REPRESENTATIVE OF A FINANCIAL INSTITUTION;

(3)  THE SUPERINTENDENT OF SCHOOLS OR HIS DESIGNEE;

(4)  THE CHAIRMAN OF THE CALVERT COUNTY ECONOMIC
DEVELOPMENT COMMISSION, OR HIS DESIGNEE;

(5)  A FARMER;

(6)  AN OWNER, OPERATOR, OR MANAGER OF A LOCAL
COMMERCIAL BUSINESS; AND

(7)  A PHYSICIAN, ENGINEER, DENTIST, LAWYER,
SCIENTIST, OR OTHER PROFESSIONAL PERSON.

(B)  (1) THE TERM OF A MEMBER IS 3 YEARS, AND BEGINS ON JULY
1 EACH YEAR.

(2)  THE TERMS OF MEMBERS ARE STAGGERED AS REQUIRED BY
THE TERMS PROVIDED FOR MEMBERS OF THE BOARD ON JULY 1, 1985.

(3)  AT THE END OF A TERM, A MEMBER CONTINUES TO SERVE
UNTIL A SUCCESSOR IS APPOINTED AND QUALIFIES. THE MEMBER MAY
SUCCEED HIMSELF. MEMBERS MAY HOLD SUCCESSIVE TERMS.

(4)  A MEMBER WHO IS APPOINTED AFTER A TERM HAS BEGUN
SERVES ONLY FOR THE REST OF THE TERM AND UNTIL A SUCCESSOR IS
APPOINTED AND QUALIFIES.

(5)  A VACANCY IN THE OFFICE OF A MEMBER, OTHER THAN
BY EXPIRATION, SHALL BE FILLED IN THE MANNER AS AN ORIGINAL
APPOINTMENT BUT ONLY FOR THE REMAINDER OF THAT TERM.

(6)  MEMBERS MAY BE REMOVED BY THE COMMISSIONERS FOR
CAUSE.

(C)  THE AUTHORITY SHALL ELECT 1 OF ITS MEMBERS AS CHAIRMAN,
1 AS VICE-CHAIRMAN, 1 AS TREASURER, AND 1 AS SECRETARY. THE
SECRETARY AND TREASURER SHALL BE BONDED AS THE AUTHORITY DIRECTS.
FIVE MEMBERS OF THE AUTHORITY CONSTITUTE A QUORUM, BUT IN ANY
CASE ACTION MAY NOT BE TAKEN BY AN AFFIRMATIVE VOTE OF LESS THAN
4 MEMBERS. A VACANCY IN THE MEMBERSHIP OF THE AUTHORITY DOES NOT
IMPAIR THE RIGHT OF THE QUORUM TO EXERCISE ALL RIGHTS AND PERFORM
ALL THE DUTIES OF THE AUTHORITY. ALL MEMBERS OF THE AUTHORITY
MAY BE REIMBURSED FOR THEIR ACTUAL EXPENSES INCURRED IN THE
PERFORMANCE OF THEIR DUTIES.

11-205. MANAGER.

A MANAGER MAY BE APPOINTED BY THE AUTHORITY, AND HIS TENURE
OF SHALL HOLD OFFICE SHALL BE AT THE PLEASURE OF THE AUTHORITY.
THE MANAGER SHALL HAVE SUFFICIENT TRAINING OR EXPERIENCE OR HAVE
DEMONSTRATED HIS CAPABILITY IN THE ADMINISTRATION AND OPERATION
OF INDUSTRIAL PARKS OR IN THE PRACTICE OF INDUSTRIAL DEVELOPMENT.
HE THE MANAGER IS THE CHIEF EXECUTIVE OFFICER FOR THE AUTHORITY
