(ii) For a business combination not voted upon
by stockholders, the date of the consummation of the business
combination.

(e) (2) For. purposes of [subparagraph (ii)] PARAGRAPH
(1)(II) of this subsection, all stockholders of a corporation
that have executed an agreement to which the corporation is an
executing party governing the purchase and sale of stock of the
corporation or a voting trust agreement governing stock of the
corporation shall be considered a single beneficial owner of the
stock covered by the agreement.

11-705.

(a) (1) Any person who willfully violates any provision of
this title, except [§]§ 11-303 or [11-904(1)] § 11-904(B)(1) of
this title or who willfully violates any rule or order under this
title, or who willfully violates §[§] 11-303 or [11-904(1)] §
11-904(B)(1) of this title knowing the statement made to be false
or misleading in any material respect, on conviction is subject
to a fine not exceeding $5,000 or imprisonment not exceeding
three years or both;

Article - Courts and Judicial Proceedings

1-707.

A judge of the District Court who was continued in office as
a judge of that Court pursuant to the provisions of Article IV, §
41-I[(g)l (A) of the Constitution, and who on July 4, 1971 was a
participant in a group health or group hospitalization plan
provided by a local subdivision, and who within six months from
July 5, 1971, elected to remain a member of that plan, may
continue as a member of the plan. In this event, the local
subdivision shall continue to make on behalf of the judge any
contributions to the plan required by its terms or by law. The
State shall periodically reimburse the local subdivision for
contributions made pursuant to this section.

(d) (1) In Baltimore City, the Sheriff shall receive a
salary of $37,500. He shall appoint an undersheriff and chief
deputy sheriff, three supervisory deputy sheriffs, one deputy
sheriff writ clerk and four assistant deputy sheriff writ clerks,
one stenographer and docket clerk, two clerks and he may appoint
a total of 61 deputy sheriffs. In addition to any other
compensation received, each sheriff shall receive an expense
allowance of $100 annually for: (i) ammunition for practice
sessions at the range; (ii) clothing allowance to defray the cost
of dry cleaning and maintaining the clothing worn while on duty;
and (iii) the purchase and maintenance of other items necessary
to fulfill their duties that currently are not furnished by the
Baltimore City Sheriff's department. Salaries for these
