SECTION 2. AND BE IT FURTHER ENACTED, That this Act shall
take effect July 1, 1983. Approved May 24, 1983.
CHAPTER 346 (Senate Bill 468) AN ACT concerning Corporations and Associations - Interested Director Transactions FOR the purpose of clarifying the relationship between provisions
relating to indemnification of directors and provisions
relating to transactions in which directors have certain
interests; and providing that a charter, bylaws, contract,
or transaction that requires or permits indemnification
according to a certain provision of the Code is fair and
reasonable under another provision of the Code. BY repealing and reenacting, with amendments, Article - Corporations and Associations Section 2-419 Annotated Code of Maryland (1975 Volume and 1982 Supplement)
SECTION 1. BE IT ENACTED BY THE GENERAL ASSEMBLY OF
MARYLAND, That the Laws of Maryland read as follows: Article - Corporations and Associations 2--419. (a) If subsection (b) of this section is complied with, a
contract or other transaction between a corporation and any of
its directors or between a corporation and any other corporation,
firm, or other entity in which any of its directors is a director
or has a material financial interest is not void or voidable
solely because of any one or more of the following:
