(e) Appointments to the board of directors
resulting from the death, removal, or refusal to serve of
a director shall be for the unexpired portion of such
term only.
(f) No member of the board of directors shall
exercise any of the powers of any office or position with
the Authority while there exists a conflict of interest
as defined in Article 19A of the Annotated Code of
Maryland. Violation of these provisions shall be
sufficient cause for removal from office.
(g) The board of directors or the Governor may
remove a member of the board for good cause after a
public hearing, provided the reasons for such removal are
given to said member ten (10) days prior to the hearing. 757. The board of directors herein provided for shall
exercise all of the powers and authority given to the
Authority. The board of directors shall have authority
to pass all necessary bylaws required to construct,
operate and maintain any comprehensive public health
facility including a public hospital facility in the
general vicinity of the City of Laurel, which bylaws must
be first approved by the State Department of Health and
Mental Hygiene and shall pass all necessary rules and
regulations relating or pertaining to such facilities. 7 5 8. (a) The board is authorized and directed to accept
and/or receive on behalf of the Authority or any facility
existing under the Authority grants or funds from the
United States government, the State of Maryland, any
instrumentality of either, on such terms and conditions
as the board may determine. (b)    The board is authorized to cooperate with the
United States, the State of Maryland, its counties and
municipalities, or any of their instrumentalities, in any
program the board deems beneficial to the Authority, or
any facility existing under the Authority. (c)    The board is further authorized to do any and
all acts for the benefit of the Authority, or any
facility existing under the Authority, for the purpose of
carrying out the provisions of this subtitle, to have and
to exercise the powers, duties and authority necessary to
operate and maintain any facility existing under the
Authority, including the right to use a common seal, to
contract and to sue and be sued. (d)    The board is further authorized and directed
