ITS MEMBERS FROM TIME TO TIME.

(B)    LIMITATION ON WAIVER OF PROVISIONS BY
SUBORDINATE BODY OR SUBORDINATE OFFICER OR MEMBER.

(1)    THE CONSTITUTION AND LAWS OF THE SOCIETY
MAY PROVIDE THAT ITS SUBORDINATE LODGES OR BRANCHES, AND
THEIR OFFICERS AND MEMBERS MAY NOT WAIVE ANY OF THE
PROVISIONS OF THE LAWS OR CONSTITUTION OF THE SOCIETY.

(2)   A PROVISION ADOPTED IN ACCORDANCE WITH
THIS SUBSECTION IS BINDING ON THE SOCIETY AND EVERY
MEMBER AND BENEFICIARY OF A MEMBER.

(C)      GENERAL POWERS.

A SOCIETY HAS ANY OTHER POWER NECESSARY AND
INCIDENTAL TO EFFECTUATE ITS OBJECTIVES AND PURPOSES.

REVISOR'S NOTE: Subsections (a) and (c) of this
section are new language derived without
substantive change from Art. 48A, §315.

Subsection (b) of this section is new language
derived without substantive change from Art.
48A, §319.

6-411. AMENDMENTS TO ARTICLES OF INCORPORATION.

(A)   GENERAL RULE.

A SOCIETY MAY AMEND ITS ARTICLES OF INCORPORATION,
CONSTITUTION, OR LAWS, IN ACCORDANCE WITH THEIR
PROVISIONS:

(1)   BY ACTION OF ITS SUPREME LEGISLATIVE OR
GOVERNING BODY AT A REGULAR OR SPECIAL MEETING OF THE
BODY; OR

(2)   BY REFERENDUM.

(B)   AMENDMENT BY REFERENDUM.

(1) AN AMENDMENT BY REFERENDUM MAY BE
APPROVED IN ACCORDANCE WITH THE PROVISIONS OF THE
ARTICLES OF INCORPORATION, CONSTITUTION, OR LAWS OF A
SOCIETY, BY:
