2-605. CHANGE OF NAME OF DELETION OF NAME OF COUNTY OF
CITY.

NOTWITHSTANDING THE PROVISIONS OF § 2-604 OF THIS
SUBTITLE, A MAJORITY OF THE ENTIRE BOARD OF DIRECTORS,
WITHOUT ACTION BY THE STOCKHOLDERS, MAY ABEND THE CHARTER
OF A CORPORATION TO DELETE THE FOLLOWING FROM THE
CORPORATE NAME:

(1)       THE WORD "THE"; OR

(2)   THE NAME OF THE CITY OR COUNTY WHERE THE
CORPORATION WAS FORMED.

REVISOR'S NOTE: This section presently appears as
Art. 23, §11(b).

The only changes are in style.

The Commission questions the logic of limiting
the applicability of this section to the place
where a corporation was "formed," and whether
the term "city" as used here is intended to
apply only to Baltimore City.

2-606. MULTIPLE AMENDMENTS.

ANY NUMBER OF AMENDMENTS MAY BE CONSIDERED AT A
SINGLE MEETING OF THE STOCKHOLDERS OR DIRECTORS.

REVISOR'S NOTE: This section   is new language derived

without substantive       change from those

provisions of Art. 23, §11(e) which relate to
charter amendments.

The other provisions of §11 (e) which relate to
restatement of charters appear in §2—609.

2-607. CONTENTS OF ARTICLES OF AMENDMENT.

(A) IN GENERAL.

ARTICLES OF AMENDMENT SHALL SET FORTH THE AMENDMENT
AND STATE:

(1)    THAT THE AMENDMENT WAS ADVISED BY THE
BOARD OF DIRECTORS AND APPROVED BY THE STOCKHOLDERS; OR

(2)     THAT THE AMENDMENT WAS APPROVED BY A
MAJORITY OF THE ENTIRE BOARD OF DIRECTORS AND THAT:
