copy of the bylaws independently of this
section.

2-110. CONTESTS OF BYLAWS.

(A) IN GENERAL.

THE BYLAWS MAY CONTAIN ANY PROVISIONS NOT
INCONSISTENT WITH LAW OR THE CHARTER OF THE CORPORATION
FOR THE REGULATION AND MANAGEMENT OF THE AFFAIRS OF THE
CORPORATION.

(B) CLASSIFICATION OF DIRECTORS.

THE BYLAWS MAY DIVIDE THE DIRECTORS OF THE
CORPORATION INTO CLASSES AND SPECIFY THE TERM OF OFFICE
OF EACH CLASS.

(C) KEEPING OF BYLAWS.

THE ORIGINAL OR A CERTIFIED COPY OF THE BYLAWS,
INCLUDING ANY AMENDMENTS TO THEM, SHALL BE KEPT AT THE
CORPORATION'S PRINCIPAL OFFICE.

REVISOR'S NOTE: Subsection (a) of this section
presently appears as the second sentence of
Art. 23, §48.

Subsection (b) of this section is new language
derived without substantive change from the
provisions of Art. 23, §52(c) which relate to
bylaw provisions. The balance of §52(c), as
it relates to charter provisions, appears in
§2-104.

Subsection (c) of this section presently
appears as the third sentence of Art. 23, §48.

The only changes are in style.

For provisions which authorize a corporation
that operates a radio station to restrict by
its bylaws the transfer of stock to aliens,
see §5—703.
