MARVIN MANDEL, Governor

1513

In subsection (a) and (b) of this section, the
words "and shall fulfill," which presently
appear in present §5A after "sufficient," are
deleted as unnecessary.

The only other changes are in style.

SUBTITLE 4. MISCELLANEOUS.

1-401. SERVICE OF PROCESS AND NOTICE.

(A)   SERVICE OF PROCESS ON RESIDENT AGENT.

SERVICE OF PROCESS ON THE RESIDENT AGENT OF A
CORPORATION OR ON THE RESIDENT AGENT OF ANY OTHER PERSON
BINDS THE CORPORATION OR OTHER PERSON IN ANY ACTION,
SUIT, OR PROCEEDING WHICH IS PENDING, FILED, OR
INSTITUTED AGAINST IT UNDER THE PROVISIONS OF THIS
ARTICLE [[UNTIL THE APPOINTMENT OF A SUBSTITUTE RESIDENT
AGENT IS CERTIFIED TO THE DEPARTMENT]].

(B)    SERVICE OF NOTICE ON CORPORATION UNDER RULE
106.

(1)   ANY NOTICE REQUIRED BY LAN TO BE SERVED
BY PERSONAL SERVICE ON A RESIDENT AGENT OR OTHER AGENT OR
OFFICER OF ANY MARYLAND CORPORATION OR OF ANY FOREIGN
CORPORATION REQUIRED BY STATUTE TO HAVE A RESIDENT AGENT
IN THIS STATE MAY BE SERVED ON THE CORPORATION IN THE
MANNER PROVIDED BY MARYLAND RULE 106 OR MARYLAND DISTRICT
RULE 106 RELATING TO THE SERVICE OF PROCESS ON
CORPORATIONS.

(2)     SERVICE UNDER MARYLAND RULE 106 OR
MARYLAND DISTRICT RULE 106 IS EQUIVALENT TO PERSONAL
SERVICE ON A RESIDENT AGENT OR OTHER AGENT OR OFFICER OF
A CORPORATION MENTIONED IN PARAGRAPH (1) OF THIS
SUBSECTION.

REVISOR'S NOTE: Subsection (a) of this section is
new language derived without substantive
change from various sections dealing with the
effect of service of process on a resident
agent, see, e.g., Art. 23, §§ 68(a)(8),
69(a)(8), and 70(a)(7). It is added to avoid
undue repetition throughout this article. The
words "or any other person" are added to cover
the situation where there is a non-corporate
entity required to appoint a resident agent;
see, e.g., Art. 23, §70(a)(1).

Subsection (b) of this section presently
appears as Art. 23, §127C.
