and regulations adopted in accordance therewith. The
certificate of the appointment by the Governor and
Secretary of Public Safety and Correctional Services of
any member shall be sent to the clerk of the circuit
court of the county or the clerk of the Superior Court of
Baltimore City, as the case may be, where the appointee
resides, and the clerk of said court shall promptly
notify the appointee of the receipt of such certificate
warning him that failure to take the aforesaid oath
within sixty (60) days shall constitute a refusal of the
appointment. The clerk shall notify the Governor of any
such failure.

(d)    A majority of said board shall be a quorum for
the transaction of all business, and shall have full
power and authority to do and perform any and all acts
that the said board is by law authorized and empowered to
do and perform; and the said board, or a Majority
thereof, may authorize any of its members by and in its
name to execute on its behalf any and all papers that the
said board has power and authority to execute.

(e)    The board of Patuxent Institution shall have
any and all incidental powers and authority appropriate
and convenient to enable the said board to fully
discharge the powers of management, control and
supervision conferred upon them by this article. Said
board shall have power to summon witnesses before it and
to administer oaths or affirmations to such witnesses
whenever, in the judgment of the board, it may be
necessary for the effectual discharge of its duties under
this article; and any person failing to appear before the
board at the time and place specified in answer to said
summons, or refusing to testify, shall be punishable by a
fine of not less than twenty-five nor more than fifty
dollars; false swearing on the part of any such witness
shall be deemed perjury, and shall be punished as such.

(f)    Said board shall have full power and authority
to make, repeal or amend such rules and regulations, not
inconsistent with law or applicable rules and regulations
of other State agencies, for the operation, discipline
and conduct of the Institution, the inmates, staff and
employees, by this article placed under its supervision
or control, as may be necessary or convenient for the
proper administration of the power and discretion
conferred upon it by this article.

(g) (1) No member of said board, or the advisory
board hereinafter created, or any officer, member of the
staff or employee of Patuxent Institution shall be
directly or indirectly concerned or interested in any
contract, purchase or sale made, on the recommendation of
said board, or shall accept any reward or gift or any
