THE SECRETARY OF THE DEPARTMENT OF PUBLIC SAFETY AND
CORRECTIONAL SERVICES MAY DO ALL THINGS NECESSARY OR
INCIDENTAL TO THE CARRYING OUT OF THE COMPACT IN EVERY
PARTICULAR.
SECTION 2. AND BE IT FURTHER ENACTED, That if any provision of
this Act or the application thereof to any person or circumstance is held invalid for
any reason, the invalidity shall not affect the other provisions or any other
application of this Act which can be given effect without the invalid provisions or
application, and to this end all the provisions of this Act are declared to be
severable.
SECTION 3. AND BE IT FURTHER ENACTED, That all laws or parts of
laws, public general or public local, inconsistent with the provisions of this Act are
hereby repealed to the extent of any such inconsistency.
SECTION 4. AND BE IT FURTHER ENACTED, That this Act shall take
effect July 1, 1973.

AN ACT to add new Section 56(e) to Article 23 of the Annotated Code of
Maryland (1966 Replacement Volume), title "Corporations," subtitle "1. Stock
Corporations," subheading "Directors and Officers," to follow immediately
after Section 56(d) thereof; providing that meetings of the board of directors of
corporations may be under certain conditions held by means of conference
telephone or similar communications equipment.
SECTION 1. BE IT ENACTED BY THE GENERAL ASSEMBLY OF
MARYLAND, That new Section 56(e) be and it is hereby added to Article 23 of
the Annotated Code of Maryland (1966 Replacement Volume), title
"Corporations," subtitle "1. Stock Corporations," subheading "Directors and
Officers," to follow immediately after Section 56(d) thereof, and to read as
follows:
56.
(E) EXCEPT AS MAY BE OTHERWISE RESTRICTED BY THE
ARTICLES OF INCORPORATION OR BY-LAWS, MEMBERS OF THE
BOARD OF DIRECTORS OR ANY COMMITTEE DESIGNATED
THEREBY MAY PARTICIPATE IN A MEETING OF SUCH BOARD OR
COMMITTEE BY MEANS OF A CONFERENCE TELEPHONE OR
SIMILAR COMMUNICATIONS EQUIPMENT BY MEANS OF WHICH
ALL PERSONS PARTICIPATING IN THE MEETING CAN HEAR EACH
OTHER AT THE SAME TIME AND PARTICIPATION BY SUCH MEANS
SHALL CONSTITUTE PRESENCE IN PERSON AT A MEETING.
SECTION 2. AND BE IT FURTHER ENACTED, That this Act shall take
effect July 1, 1973.
