shall specify two members to serve a term of THE COUNTY
AFTER CONSULTATION WITH THE CITY AND SUBJECT TO
CONCURRENCE BY THE CITY, SHALL SPECIFY TWO MEM-
BERS TO SERVE A TERM OF one year, two members a term of
two years and three members a term of three years.
(b) Any vacancy in the membership of the Authority caused by
the expiration of a term or by the resignation, removal, death, or
permanent absence from the County, of a member, or any vacancy
caused by incapacity on the part of any member, whether physical
or mental or any vacancy resulting from any other cause, either
actual or in effect, shall be filled for a new term or for the re-
mainder of the term of such incumbent, as the case may be, in the
same manner as provided herein for the appointment of members.
(c) Each member of the Authority before entering upon his duties
shall take the constitutional oath of office before the Clerk of the
Circuit Court for Wicomico County; a record of each other OATH
shall be filed in the Office of the Clerk.
(d) Any member of the Authority may be removed from office
by the City and County for misfeasance, malfeasance or wilful

FEASANCE, MALFEASANCE OR WILFUL neglect of duty, but
only after reasonable notice has been given to the member involved
and a public hearing before said bodies has been held in connection
with the charges preferred against such member, unless notice and
hearing are in writing expressly waived by such members.
(e) Members of the Authority shall receive no compensation for
their services except reimbursement for actual out-of-pocket expenses
as authorized by the Authority.
(f) A majority of the members of the Authority constitute a
quorum for the transaction of business, and the affirmative vote of
a majority of the members is necessary for any action taken by the
Authority. A vacancy in the membership of the Authority does
not impair the right of a quorum to exercise all of the rights and
to perform all of the duties of the Authority. All sessions, hearings
or meetings of the Authority, except executive sessions, shall be
open to the public. The Authority shall keep records of its proceeds
ings, showing the 'vote of each member on each question, of if absent,
or failing to vote, indicating such fact. The Authority shall keep
a record of all resolutions, transactions, findings, determinations and
decisions, and all records of the Authority shall be kept in the
office of the Authority and shall be public records.
(g) The Chairman shall be elected annually by the members of
the Authority, shall preside over the meetings of the Authority and
perform such other duties as may be imposed upon him by law or
as may be assigned to him by the Authority. The members of the
Authority also shall annually elect one of its members as Vice-
Chairman who, in the absence of the Chairman of the Authority,
shall preside over the meetings of the Authority and perform such
other duties as may be imposed upon him by law or as may be
assigned to him by the Authority.
(h) The Authority shall appoint a secretary-treasurer, who need
not be a member of the Authority. The secretary-treasurer shall
