1790                             Laws of Maryland                      [Ch. 796

all of whom shall be citizens of the State of Maryland and residents
of Harford County.

(i) There shall be the following ex-officio directors: A member
of the Board of County Commissioners selected by that body, the
director of the Department of Social Services for Harford County, a
representative selected by the Harford County Board of Education,
a medical doctor who shall be appointed for an indefinite term, and
the Health Officer for Harford County. A designee of any ex-officio
director may serve in his stead.

(ii) The remaining directors shall be initially appointed as fol-
lows: Two for four year terms; two for three year terms; two for
two year terms and two for a one year term. As the terms of the
initial appointees expire or as vacancies occur, their successors shall
be elected by a majority vote of the remaining directors for terms
of four years, or to fill any unexpired term; and thereafter all vacan-
cies on the Board of Directors shall be so filled. Seven (7) directors
shall constitute a quorum. Action shall be by majority vote, each
member, including ex-officio members, being entitled to one vote.
A vacancy shall not impair the right of a quorum to exercise all of
the rights and perform all of the duties of the Corporation.

(iii) At least two, and not more than two, of the non-ex-officio
directors shall be parents of handicapped children.

(3) Officers: Immediately after appointment, the Directors of
the Corporation shall enter upon their duties and shall select one
of their number as chairman and one as vice-chairman, and shall
establish whatever other offices as they may deem appropriate.

(A) Compensation: The Directors of the Corporation shall serve
without compensation.

(5) Bylaws, Rules and Regulations: The Directors of the Cor-
poration shall adopt bylaws for the orderly conduct of its corporate
affairs and whatever rules and regulations as necessary and appro-
priate to the exercise of its powers in accomplishing the purposes of
the corporation.

(b) Purpose:

The purpose of the Corporation is:

(1)    For the general benefit of the citizens of Harford County
and charitable in nature;

(2)    As the instrumentality of government through which pro-
grams and services are made available with both public and private
funds and resources to persons who are mentally retarded, physically
handicapped or are in need of any form of rehabilitation related to
mental or physical conditions;

(3)    For the establishment of a corporate body as an operating
entity with public responsibility to construct, maintain and operate
facilities and administer the programs and functions for the educa-
tion, training, supervision and custodial care of the citizens of Har-
ford County requiring it.
