11. Separability
If any provision of this subheading, or the application thereof to
any person or circumstances, is held invalid, the remainder of the
subheading and the application of such provision to persons or cir-
cumstances other than those as to which it is held invalid, shall not be
affected thereby. The powers conferred by this subheading shall be in
addition and supplemental to the powers conferred by any other law.
Sec. 2. And be it further enacted, That this Act shall take effect
June 1, 1963.

(House Bill 469)
AN ACT to repeal and re-enact, with amendments, Section 27 (b) of
Article 23 of the Annotated Code of Maryland (1957 Edition), title
"Corporations," subtitle "Capital Stock and Stockholders," adding
the Chairman of the Board to those officers authorized to sign
certificates of stock, under the corporation laws.
Section 1. Be it enacted by the General Assembly of Maryland,
That Section 27(b) of Article 23 of the Annotated Code of Maryland
(1957 Edition) title "Corporations," subtitle "Capital Stock and
Stockholders," be and it is hereby repealed and re-enacted, with
amendments, to read as follows:
27.
(b) Each certificate shall be signed by the president, chairman of
the board or a vice-president and countersigned by the secretary or an
assistant secretary or the treasurer or an assistant treasurer and shall
be sealed with the corporate seal. The signatures may be either man-
ual or facsimile signatures and the seal may be either facsimile or
any other form of seal. In case any officer who has signed any cer-
tificate ceases to be an officer of the corporation before the certificate
is issued, the certificate may nevertheless be issued by the corpora-
tion with the same effect as if the officer had not ceased to be such
officer as of the date of its issue.
Sec. 2. And be it further enacted, That this Act shall take effect
June 1, 1963.
