occur by reason of the death, disqualification, resignation or re-
moval of a member, the [governing body of the county] County
shall IMMEDIATELY appoint a successor, RESIDENT IN THE
SAME SUBDISTRICT, to fill his unexpired term.
(c) A majority of the members shall constitute a quorum of the
Commission for the purpose of organizing the District and con-
ducting the business thereof and for all other purposes, and all
action may be taken by vote of a majority of the members present,
unless in any case [the]* by-laws adopted by the Commission may
require a larger number. The Commission shall have the authority
to manage the properties and business of the District and to pre-
scribe, amend and repeal by-laws, rules and regulations governing
the manner in which the District may be conducted, and the powers
granted to it may be exercised, enforced and [embodied] recorded.
The Commission shall fix and determine the number of officers,
agents [and] , employees , consultants and attorneys of the District
and their respective powers, duties and compensation, shall appoint
the same and may appoint to such office or offices, except to the
office of Secretary-Treasurer, any member of the Commission with
such powers, duties and compensation as the Commission may deem
proper [, provided however, each]. The Commission shall have at
least a Chairman, and a Secretary-Treasurer, but until such time
as the Commission shall begin to receive revenues from the sources
provided in this sub-title, it shall not appoint any other officers,
agents and employees nor make any provision for compensation of
any nature except to the extent that such appointments shall be
approved by the County and such compensation provided by the
County. The Secretary-Treasurer appointed by the Commission shall
be the [collector of all] Chief fiscal officer of the District, to whom
the Treasurer of the County shall pay, at regular intervals, all
receipts from taxes, charges and assessments levied, made or im-
posed by the [Commission] County for the use and benefit of the
District, and he shall receive and account for all moneys which
shall be due and payable to said [Commission] District from any
source whatsoever. All moneys deposited by the Secretary-Treasurer
in any banking institution shall be protected and secured by a de-
pository bond or by the pledge of such other security as may be
approved by the [said] Commission. The Secretary-Treasurer shall
give bond to the State of Maryland in such amount as may be neces-
sary to protect the funds of said [Commission] District with a good
and sufficient surety to be approved by the [said Commissioners]
Commission, with the condition "that if the above bounden..............
shall well and faithfully execute his office and shall account to the
[said Commission] District for all moneys which he shall receive
for account of the [Commission] District, or be answerable for by
law, then the said obligation shall be void, otherwise to be and
remain in full force and effect". The said bond, when approved,
shall be recorded in the office of the Clerk of the Circuit Court
for Washington County, and [the] each person so appointed Secre-
tary-Treasurer, before entering upon the duties of his office, shall
take an oath before [the] said Clerk [of the Circuit Court for
Washington County], in form similar to that taken by collectors of
taxes, except as to the title of the office. The Commission is hereby
empowered to pay the premiums on all surety bonds.
(d) [Each] The District shall keep a complete and true record
of its receipts, expenses and expenditures, and shall employ a certi-
