offending, shall for every such offence respectively forfeit and
pay to the said president, managers and company of the said
road, on which said fraud shall or may be practised, any sum
not exceeding ten dollars, to be recovered before a justice of
the peace of the county where such offence may be committed,
together with costs of suit; Provided always, that if any per-
son or persons shall or may be prosecuted under this section
and the prosecution shall not be sustained on the part of the
prosecutor, in such case the person or persons prosecuted as
aforesaid shall be entitled to recover from the president, mana-
gers and company, the sum of twenty dollars, to be recovered
as aforesaid, in lieu of the damages from delay and vexatious
prosecution; and if any toll gatherer shall knowingly demand,
take or receive, any greater toll from any person or persons
than such toll gatherer is entitled and authorised to demand and
receive by virtue of this act, such toll gatherer shall forfeit and
pay the sum of twenty dollars for every such offence, to the
use of the county in which said forfeiture is incurred, and for
the payment of which the said company shall be responsible.
27. AND BE IT ENACTED, That all wagons, and dri-
vers of carriages of all kind of burthen or pleasure, using the
said road, except when passing carriages of slower draught
shall keep their wagons and carriages on the right hand side of
the said road in the passing direction, leaving the other side
free and clear for other travellers and carriages to pass and re-
pass; and if any driver shall offend against this provision, he
shall forfeit and pay not exceeding ten dollars to any person
who shall be obstructed in his passage and may warrant for the
same, to be recovered before any justice of the peace of the
county where such obstruction shall happen.
28. AND BE IT ENACTED, That it may and shall be
lawful for any corporation or body politic in the United States
to become subscribers for stock in said company, in the same
manner as individuals may become subscribers, and stockhold-
ers therein, and transfers of stock in said company may be
made by corporations or bodies politic of their stock in said
company, in such manner as the said company shall and may
from time to time by their bylaws direct and appoint.
29. AND BE IT ENACTED, That it shall be lawful for
the president and managers of said company, provided the
whole amount of shares of capital stock shall not have been
taken and subscribed for during the three days attendance by
the commissioners as aforesaid, for the purpose to nominate one
or more persons who shall hereby be authorised to take the sub-
scription books to the house or houses of individuals or meet-
ings of bodies corporate and politic, and take in subscriptions
for shares in said capital stock until the whole sum of four hun-
dred thousand dollars shall have been taken in and subscribed
for upon the same terms, and under the same provisions as
herein before provided for; Provided nevertheless, that no such
subscriber shall be liable for the penalty provided for in cases
of non payment unless the president and managers shall cause
at least thirty days notice to be given in some public newspa-
pers in the county where such subscriber or subscribers may
respectively reside.
30. AND BE IT ENACTED, That it shall be lawful for
the president and managers aforesaid to compound with the le-
