tion, visitation and examination of the said seminary
and the students and scholars therein, as shall best pro-
mote the important objects of the institution; Provided
always, that the said ordinances be nut repugnant to the
constitution and to the laws of this state.

Quarterly and
other meetings.
|
5. AND BE IT ENACTED, That the said trustees
and their successors or a majority of them, shall meet at
least four tiroes in every year in stated quarterly meetings,
to be appointed by their own ordinances, and at such other
times as by their said ordinances, or by their own adjourn-
ments they may direct; and when so assembled, they
shall have power from time to time to appoint a president,
treasurer and secretary, to make contracts with the pro-
fessors or teachers relative to the instruction of the scho-
lars to be placed under their care, and for the payment of
their salaries, to examine the progress of the students and
scholars in their learning, to hear and determine on all
complaints and appeals, and upon all matters touching the
discipline and government of the said Academy, and
wholesome execution of their ordinances, and generally
to manage the estate and concerns of the said seminary
in like manner as is usually done for the advancement
and advantage of similar institutions.

Trustees to
qualify.

6. AND BE IT ENACTED, That before any trus-
tee herein before appointed, or hereafter to be elected,
shall proceed to execute the trusts and authorities delegat-
ed by this act, he shall qualify himself before some ma-
gistrate, by taking an oath or affirmation, (as the case may
be,) that he will truly and faithfully execute and perform
the duties of a trustee of the said Academy, without
partiality or prejudice, according to the best of his skill
and judgment, and agreeably to the directions of this act,
and a certificate of such qualification shall be delivered
by the magistrate and be filed among their proceedings.

7. AND BE IT ENACTED, That the said trustees
and their successors or a majority of them, shall report
their proceeding and the state of the Academy, to the
General Assembly for their inspection and examination ;
and this act of incorporation, and every part thereof, and
the proceedings of the trustees in execution thereof, shall
have effect in law according to the true intent, and mean-
ing of the same respectively, and shall be construed, re-
puted and adjudged, in all cases most favorably on the
behalf and for the benefit of the said trustees and their
successors, so as most effectually to answer the objects
and design of this act, towards the advancement and
promotion of knowledge and virtue.
