Powers, &c.

8. And be it enacted. That the said president and managers, any
four of whom shall make a board, shall meet as often as the business
of the company shall require; shall keep minutes of their transactions
fairly entered in a book; shall have full power and authority to make
all contracts and agreements, and to draw orders on the treasurer for
all monies necessary to fulfil their contracts, and to pay the officers
and persons employed in the service of the company such salaries
and wages as they may deem just and reasonable, which orders shall
be signed by the presiding member of the board, and countersigned
by their clerk; and generally to do and transact all such other acts
and things as may be conducive to the interests of the company, and
no president or managers shall be entitled to arty emolument unless
the same shall have been allowed by a majority of the stockholders at
a general meeting.

Bridge pre-
scribed.

9. And be it enacted, That the said bridge shall be of a breadth,
sufficient to admit of carriage ways, with a strong partition between
them, and a strong-railing on each side of the bridge; and shall be so
constructed that the navigation of the river may not thereby be injur-
ed or affected and the said bridge with all its profits shall be and the

vested.

same is hereby vested in the said stockholders, their heirs and as-
signes forever as tenants in common in proportion to their respective,
shares, and shall be forever exempt from the payment of any tax,
imposition or asessment whatever.

Tolls.

10. And be it enacted, That so soon as the said bridge shall have
been completed, it shall be lawful for the said company to demand
and receive the following tolls and rates for passing the same, that is
to say; for a man, horse, mule or work ox, six and a quarter cents,
for all riding carriages, waggons, carts, sleighs and sleds, six and a
quarter cents per wheel or runner, for every head of neat cattle, two
cents; and for every score of sheep, hogs, goats or lambs twenty
cents, and in proportion thereto for a greater or less number, and if
a greater sum shall be demanded or taken from any person for the
carriage or toll, than is allowed by this act, or if any person shall bo
impeded, obstructed or injured, in consequence of his or her passage
across the said bridge, he she or they may recover against the com-
pany before any justice within this state, the amount of the damages
so sustained and a fine of five dollars for every such impediment, ob-
struction or improper exactment, and for the information of travellers,
the President and Managers of said company shall cause to be fixed
and always kept up at the toll gate, a printed list of the rates of tolls;
and any person or persons attempting forcibly to pass the said bridge
without paying toll or refusing to pay the same after having passed
shall be liable to the like fine, recoverable in like manner, to the use
of the said company, and the said President and Managers are em-
powered hereby to contract monthly or yearly with any person or
persons for the passage of the bridge for a certain and fixed sum in
lieu of the tolls authorised by this act, which sum or sums if not
punctually paid at the time stipulated for the payment thereof shall
be recovered before any justice of the peace of this state as other
debts are recoverable.

and payments.

11. And be it enacted, That the said commissioners shall pay over
to the president and managers, all monies by them respectively re-
ceived, and the said president and managers shall keep fair and just
account of all monies received by them from the said commission-
ers, and from the subscribers to the said undertaking, on account of
