LAWS OF MARYLAND.

stations of the Methodist Protestant Church, in said
city, and their successors, be and they are hereby in-
corporated and constituted a body politic, by the
name, style and title of the president and directors of
the book concern and periodical of the Methodist
Protestant Church, and by that name shall be capable
in law to sue and be sued, plead and be impleaded
in any court of law or equity in the State of Mary-
land, or elsewhere, to make a common seal, and the
same break, alter or renew at pleasure; to make and
execute such by-laws, ordinances and regulations,
as a wise and prudent regard for the interests of the
concern, shall dictate, to take, have, hold, and receive
such goods, chattels, money, property and effects, of
what nature or description soever, not in the aggre-
gate to exceed at any one time, fifty thousand dollars
in value, and the same to dispose of to the best ad-
vantage, and to publish or purchase and vend all
such books, tracts, pamphlets, papers and periodicals
as may be determined upon; the said corporation to
be subject to such rules and regulations as were adopt-
ed by a convention of commissioners appointed by a
majority of the several annual conferences above
named, which assembled in the city of Baltimore on
the 6th and 7th of June, 1855, and to such further
rules and regulations as shall hereafter be adopted
by conventions to be appointed and called by the
said annual conferences and such other annual con-
ferences as shall unite with them, and by resolution
and patronage enter into the plan, and sustain the
concern hereby incorporated, or a majority of all
such conferences from time to time; that the corpo-
rators or directors above named, and their successors
shall have authority to fill all vacancies in their body
arising from death, resignation, or removal from the
city of Baltimore, or withdrawal from, or ceasing to
be a member of the Methodist Protestant Church,
subject to the approval or disapproval of the Mary-
land annual conference at its next session, and to the
appointment by that body of a member or members
to fill such vacancy or vacancies; and that the two
last named directors, shall retain their seats in the
board, only so long as they shall continue to be the
ministers in charge of said stations; and that their
successors from time to time shall, in virtue of their
office as ministers in charge of the said stations, re-
spectively be entitled to seats in the board of direc-
tors of said corporation, with full rights and powers
