election, and a trustee shall remain in office till his
successor be appointed.

SEC. 6. And be it enacted, That the trustees shall
meet at least four times a year, viz: on the first Mon-
day in September and the third Monday in December,
March and June; they shall call a general meeting of
the stockholders in June at which the President shall
make a full report of the proceedings of the last year, a
majority of the trustees shall constitute a quorum for
the transaction of business, but a smaller number may
adjourn from day to day until a quorum be effected.

SEC. 7. And be it enacted, That the trustees shall
elect or appoint all the professors, teachers or instruc-
tors in said academy, establish their respective salaries
or compensation which shall not be lowered during
their continuance in office, and fix the time and mode
of payment.

SEC. 8. And be it enacted, That the trustees shall
have the power of prescribing the course of instruc-
tion, and of selecting or pointing out to the profes-
sors and teachers the text books and works to be
studied and used by the pupils in the academy.

SEC. 9. And be it enacted, That in case of the al-
leged mal-administration or gross immorality of any
officers of instruction, the trustees shall bring a charge
to that effect before the stockholders at their annual
meeting in June, who may continue, suspend, or re-
move said officer from his connection with the acad-
emy at their option; in extreme cases the trustees may
call an extra meeting of the stockholders for such pur-
pose, said officer shall be notified of the charge and
be allowed an opportunity of defence before the stock-
holders.

SEC. 10. And be it enacted, That the trustees shall
have the charge and general superintending care of
all property of the corporation, and of procuring suit-
able buildings to be purchased, leased or erected, and
kept in repair for the object and uses of the corpora-
tion, which property so held by said trustees not ex-
ceeding ten thousand dollars in value, shall be exempt
from taxation.

SEC. 11. And be it enacted, That the trustees shall
recommend and endeavor to further the interests of
the academy by placing it in a favorable view before
the community, and acting in conjunction with the
officers of instruction when requested, in enforcing
by counsel the regulations of the academy, and shall
