shall receive the same and endorse thereon the date and
time of such receipt. If the Chairman or the Secretary of
said Commission finds that the articles of withdrawal or
articles of joinder, as the case may be, conform to law he
shall forthwith endorse his approval thereon and issue a

certificate of approval to which shall be attached a copy
of the approved articles. Upon the issuance of such certifi-
cate of approval by the Chairman or the Secretary of said
Commission said articles of withdrawal or articles of join-
der, as the case may be, shall become effective and be in
full force and effect and such articles shall be conclusively
deemed to have been lawfully and properly adopted.
Promptly after the issuance of a certificate of approval the
said Commission shall record said articles of withdrawal
or articles of joinder, as the case may be, together with
the endorsements thereon, in the book kept by it for the
purpose of recording articles of incorporation.

410E. The powers of each Authority shall be exercised
by a governing body (herein called the "Board") composed
as follows:

(1) If the Authority is incorporated by one municipal-
ity the Board shall consist of five members, each of whom
shall be a citizen of such municipality. The governing

NICIPALITY CREATING THE AUTHORITY OR
SHALL BE COMPOSED OF FIVE CITIZENS OF SUCH

SUCH MUNICIPALITY SHALL DETERMINE. IF THE
GOVERNING BODY OF THE MUNICIPALITY CRE-
ATING THE AUTHORITY DETERMINES THAT THE
SAID BOARD SHALL BE COMPOSED OF THE MEM-
BERS OF SAID GOVERNING BODY THE TERMS OF
OFFICE OF THE MEMBERS OF SAID BOARD SHALL
COINCIDE WITH THEIR TERMS OF OFFICE AS
MEMBERS OF SAID GOVERNING BODY AND ANY
MEMBER OF SAID GOVERNING BODY SHALL AU-
TOMATICALLY BE A MEMBER OF SAID BOARD
AND SHALL CEASE TO BE A MEMBER OF SAID
BOARD UPON CEASING TO BE A MEMBER OF
SAID GOVERNING BODY. IF THE GOVERNING
BODY OF THE MUNICIPALITY CREATING AN AU-
THORITY SHALL DETERMINE THAT THE BOARD
SHALL CONSIST OF FIVE CITIZENS THE GOVERN-
ING body of such municipality shall appoint the members
of the Board, whose terms of office shall commence on
the date of appointment, and one of whom shall serve for
