corporation shall be a president, secretary, treasu-
rer and nine managers, who shall be annually
chosen by and from among the said adult male
members of the said First Presbyterian Church, in
full communion with said church, and the presi-
dent, secretary and treasurer shall be ex-officio
members of the board of managers, and the presi-
dent shall preside at the meeting of the board.

CHAP. 19.

SEC. 4. And be it enacted, That the said board of
managers of said corporation shall have power to
pass all by-laws proper to carry out the powers
hereby granted, and the purposes of said Institution,
and for the government of the same, but such by-
laws shall not conflict with law, and shall comply
with the direction of said will concerning the gov-
ernment of the Institution.

SEC. 5. And be it enacted, That any female white
orphan child, or children admitted into said Asylum
shall be subject to the same regulations that ap-
prentices are, by the laws of this State, until they
shall be bound out by the managers according to
the directions of said will, which the managers are
hereby authorised to do, for the time, and in the
manner that other female children shall or may be

bound; Provided, nothing herein contained shall be
considered as abridging the security afforded to such
persons by the law concerning apprentices.

Proviso.

|
SEC. 6. And be it enacted, That the persons named
in the preamble to this act shall, in the month of
April next, call a meeting of the said adult male
members of said church, for the acceptance of this
charter, and for an election of officers and mana-
gers, as herein provided for, and as many as shall
attend, shall be sufficient to act, and the persons,
so chosen, shall hold for one year from the day of
their election, and the board of managers shall
thereafter provide for an annual election of said
officers and managers, on the same day, in each
year thereafter, and for giving notice of such elec-
tions, and the managers chosen shall hold till their
successors be chosen, and a failure to elect shall not
prevent a subsequent election, and as many of said
members of said church as shall attend at any
meeting for the purpose of said elections shall be
competent to choose the officers and managers afore-
said.
