HERBERT R. O'CONOR, GOVERNOR. 1195

SECTION 1. Be it enacted by the General Assembly of Mary-
land, That Section 120(a) of Article 23 of the Annotated Code
of Maryland (1939 Edition), title "Corporations", sub-title
"Foreign Corporations", be and it is hereby repealed and
re-enacted, with amendments, to read as follows:

120(a) Every foreign corporation doing intrastate or in-
terstate or foreign business in this State, except insurance
companies subject to the provisions of Article 48A and ex-
cept railroads operating in this State and national banks,
shall have at least one resident agent in this State whose
name and address, as such, have been certified to the State
Tax Commission, and also a mailing address which has like-
wise been certified to the State Tax Commission. Each such
foreign corporation shall continue to have at least one such
resident agent and a mailing address so certified as long
as it is subject to suit in this State. Each such resident agent
shall be an individual actually residing in this State or
a corporation of this State. Service of process upon any such
agent of a foreign corporation shall bind such foreign cor-
poration in any action in which it is subject to suit in this
State; but, notwithstanding any other provisions of this
Article to the contrary, compliance with this section shall
not of itself render a foreign corporation subject to suit in
this State, or be construed as a consent by it to be sued in
this State, on any cause of action on which it would not be
subject to suit in this State if it had not complied with this
section. The resignation of a resident agent of a foreign
corporation shall not be effective until ten days after an
original counterpart thereof shall have been filed with the
State Tax Commission unless at the time of such resignation
such foreign corporation has one or more other resident agents.

SEC. 2. And be it further enacted, That this Act shall take
effect June 1, 1941.

AN ACT to repeal Sections 18 and 19 of Article 89 of the
Annotated Code of Maryland (1939 Edition), title "Statis-
tics and Information", sub-title "Bureau of Mines", and to
. enact in lieu thereof two new sections to follow immediately
