CHAP 258

monies or effects, by the gift grant, or birga n, sale, con-
veyance, devise, or bequest, of any person or persons what
soever, Provided, the same do not exceed in the whole, the
yearly value of five thousand dollars and the same messua-
ges lands and tenements, and other estate, real or personal,
to farm let and put out on interest , lor the use of the said
Academy, in such manner as to them shall seem most bene-
ficial to the institution and to recene the rents, issues,
profits, income and interests of the same and to apply the
emoluments the eof to the propel use and advancement of
said Academy

Sec 3 And be it enacted, That when any vacancy snail
happen in the said community of trustees by the willul
neglect of any one or more of them to attend the meetings
of the trustees, for the space of one year, the remaining
trustees, or a majority of them, shall elect other person or
persons to supply such vacancy and in like manner shall all
vacancies, at all times hereafter, be supplied by said trustees
and their successors or a majority of them, so as to per
petuate the number first chosen

Legal capacities

Sec 4. And be it enacted, That the said trustees and
then successors, by the name and style aforesaid, shall be
capable in law, to sue and be sued, plead and be impleaded,
in any court or courts, and belore any judge justice or
justices within this State, and elsewhere, in all and any
manner of suits, complaints, pleas, causes, matters and de-
mands of whatsoever kind or nature they may be, and all
and every other matter or thing to do therein in as full and
effectual manner as any person or persons, bodies politic or
corporate, within this State, and like cases may or can do or
perform, and the said trustees, or a majority of them shall
have full power and authority to have, make and use one
common seal, with such device as they shall think proper,
and therewith to pass and authenticate the certificates, acts
and orders of the said corporation, and the same seal, at
their pleasure, to break, alter and renew

Sec 5 And be it enacted, That the said trustees and
their successors, or a majority of them, from time to time,
and at all times, shall have power and authority to consti-
tute and appornt professors, teachers and assistants, for in
structing the students and scholars of said Academy, in such
sciences and branches as they shall think proper to be
taught therein, and to make ordinances and legulations for
the good government of said Academy and instruction of
youth, and to appoint such number, not less than five, of their
