are hereby created a body politic and corporate by
the name, style and title of the Westminster Cem-
etery Company, and by that name shall have per-
petual succession, and shall be able and liable to
sue and be sued before any Justice of the Peace,
and in court of law or equity in this State, and
may have and use a common seal, and the same
at their pleasure to alter or renew; and shall have
power to purchase and hold, and enjoy to them
and their successors, free from public taxation, any
real estate in said county not exceeding twenty-
five acres, for the purpose of establishing, orna-
menting and maintaining a public cemetery, with
authority to said corporation to receive gifts or
bequests for the purpose of improving or ornament-
ing said cemetery, and to hold such personal pro-
perty as may be necessary to carry out such object,
and also to sell or lease and convey any portion of
said real estate not wanted for cemetery purposes.

Management,

Sec. 2. And be it enacted, That the affairs and
business of said corporation shall be conducted by
a President and six Managers, to be elected annu-
ally by a majority in interest of the stockholders
of said corporation, or of the lot-holders in said
cemetery, or both, as the case may be, who shall
vote at any election, each stockholder having one
vote for each, share of stock, and each lot-holder
having one vote for each burial lot, held in said
cemetery; and said President and Managers so
elected shall hold their offices for one year, and
until their successors are elected ;and they, or a
majority of them, shall have power to fill all va-
cancies which may occur in their body until the
next election, whether the same be occasioned by
death, resignation, refusal or neglect, for three
months, to act, or otherwise; to prescribe the time,
place and manner of holding all subsequent elec-
tions of said officers; to appoint all necessary un-
der officers and agents of said corporation, pre-
scribe their several duties, fix their compensation
and provide for their payment; to call for and col-
lect instalments of stock; to make and pay divi-
dends on the stock of said corporation and to make
all by-laws, rules and regulations they may deem
proper, not inconsistent with the Constitution and
Laws of this State, for conducting the affairs of said
corporation, for the government of the lot-holders
