1290 LAWS OF MARYLAND.

ated and conducted separate and apart from each other, un-
der separate and distinct corporate organizations; and,

Whereas, To accomplish the separation of the said two enter-
prises it is necessary and proper that a new company be in-
corporated and organized, to acquire and take over one of
said enterprises, together with its attendant plant, property,
franchises, rights, business and contracts, and to this end
that the said the Baltimore County Water and Electric Com-
pany of Baltimore County be authorized and empowered by
proper and sufficeint form of conveyance, to transfer, assign,,
convey and release unto the said newly incorporated com-
pany all the plants, property, franchises, rights, business and
contracts of and necessary for the conduct of its electric
light and power enterprise, which are held, owned, possessed
and enjoyed by the said the Baltimore County Water and
Electric Company of Baltimore county; and,

Whereas, The laws of the State of Maryland, as now in force,
require that the said new company be incorporated by this
Act of the General Assembly of Maryland; therefore,

SECTION 1. Be it enacted by the General Assembly of Mary-
land, That Frederick W. Feldner, August Wehr, Anton Weis-
kittel, William Schluderberg, Patrick Flanigan, Charles H.
Classen, William G. Speed, Albert H. Wehr and J. Gordon
Macdonald, all being citizens of the State of Maryland, and
their associates, successors and assigns, be and they are hereby
constituted and made a body corporate, under and by the name
and style of the Baltimore County Electric Company, and by
that name shall have perpetual succession and shall be capable
to sue and be sued, to plead and be impleaded, and to complain
or defend in any Court of law or equity; to make and use a
common seal and alter the same at pleasure; to receive and
make deeds, leases and mortgages; to acquire by purchase, or
in any other manner, take, receive, hold, use, enjoy, manage,
mortgage, dispose of, or in any manner not inconsistent with
law, deal in and contract in regard to any property, real, per-
sonal or mixed, situate in or out of the aforesaid State, which
may be necessary or proper to enable said corporation to carry
out its operations and fulfill the purposes named in this Act;
to apply for, purchase, or in any manner acquire, hold, own,
use, work, operate or sell, or in any manner dispose of any
patents, inventions, improvements or processes relating to the
business authorized by this charter; also to enter into, make,
perform and enforce contracts of every kind with any person,
firm, association or corporation with reference to the business
authorized under the terms of this charter, and generally to
do every other act or thing not inconsistent with law, which
