capable in law to acquire and hold, and in anywise dispose
of property, and to sue and be sued, plea and and be impleaded
in any Court whatever, to have and to use a common seal
and to alter the same at pleasure, and may generally do
execute and enforce all and singular such acts, contracts,
matters and things as may be necessary or proper to carry
into effect the powers herein granted, or to protect the inter-
ests and promote the objects and designs of their incorpora-
tion; provided, however, that in the exercise of any of the
powers herein granted to such subordinate councils or
branches, they shall at all times and in all respects be sub-
ject to the powers and limitations contained in their respec-
tive charters, granted by this corporation, and to the consti-
tution, laws, rules and regulations thereof; provided further,
that the property and assets of each subordinate council or
branch only shall be liable for the debts and engagements
of such subordinate council or branch. And in order to
carry out fully and effectually the purposes and to protect
the interests for which their separate incorporation is
authorized, they shall have the power to pass such by-laws,

rules and regulations not in conflict herewith nor with the
powers granted in their charters, or with the constitution
and laws of the supreme council as may seem necessary and
proper for their organization, maintenance and government ;
but no such by-laws passed by subordinate councils or
branches shall be put in operation or become effective until
they have been submitted to and been duly approved by the
supreme council as provided in its laws. A certified copy
of the charter, under the seal of the supreme council or the
subordinate council to which it has been granted, shall be
sufficient evidence of the corporate existence of any such
subordinate council or branch of the order.

right, subject to the limitations placed upon them by the
supreme council, to collect and receive money from their
members, to be paid in fixed periodical instalments or assess-
ments or otherwise provided in their by-laws, and may invest
and accumulate the same for the use and benefit of their
members and their beneficiaries and may issue certificates
