CHAP. 424.

to manage the affairs of said company ; and said twelve direc-
tors, or a majority of them, shall have the power to elect a
president of said company, either from among said directors or
elsewhere; and any three of said commissioners may be by
said subscribers selected for judges of said first election of
directors.

SEC. 9. And be it enacted. That said president and direc-
tors, or a majority of them, may appoint all such officers,
engineers, agents and employes as they may deem necessary
for the transaction of the business of said company, fix their
duties and compensation, and the same to change, alter or dis-
charge at their pleasure; they shall have power to pass all
by-laws necessary for exercising the powers of the company
and for carrying out the objects thereof; they shall fix all
rates, charges and tolls upon passengers, freights and property
transported on said road or roads, make such special contracts
with other companies or corporations for the transfer of goods
or merchandise in bulk or by car load, and for the transporta-
tion of passengers or cars, as the interests of the company
would indicate ; provided, said tolls are not over five cents per
mile for passengers nor over ten cents per ton per mile for
merchandise.

SEC. 10. And be it enacted, That said corporation may
connect with any other railroad or transportation company
now organized or which may be hereafter organized ; and said
company may own and operate or lease any steamboats or
steamships, or subscribe to the capital stock of any company
owning same, to be used wholly or partly in connection with
the business of said company.

SEC. 11. And be it enacted, That said company is authorized
and empowered to manufacture, furnish, sell and use steam,
electricity, electric power and lights in Kent-county, of this
State, and to manufacture, sell or otherwise deal in electricity
and electrical machinery and supplies, and to use all necessary
means to effect the objects of this incorporation ; to establish
lines of electric railway conductors and conduits in Kent
county, and to use therefor any of the public roads, streets,
alleys or highways in Kent county; provided, the consent of
the proper public authorities in Kent county, having jurisdic-
tion over said public roads, streets, alleys or highways, be
obtained ; and for the purpose of obtaining rights of way,
where said company cannot agree with the owner, or where
the owner is feme covert, under age, non compos mentis, or
under any other legal disability, said company may proceed to
condemn and acquire the use thereof in the manner provided
in Article 23 of the Code of Public General Laws ; and said
