Ch. 6 LAWS OF MARYLAND

§ 3-603(b) of this title, a stockholder may not demand the fair value of his stock and is
bound by the terms of the transaction if:

(1) The stock is listed on a national securities exchange:

(ii) With respect to any other transaction, on the record date for
determining stockholders entitled to vote on the transaction objected to; [or]

(2) The stock is that of the successor in a merger, unless:

(ii) The stock is to be changed or converted in whole or in part in the
merger into something other than either stock in the successor or cash, scrip, or other
rights or interests arising out of provisions for the treatment of fractional shares of
stock in the successor[.]; OR

consideration from another person for advising the other person as to the value of
securities or their purchase or sale, whether through the issuance of analyses, reports,
or otherwise to:

(4) When acting as principal for his own account knowingly sell any
security to or purchase any security from a client, or when acting in [a] AN agency
capacity for a person other than such client knowingly effect any sale or purchase of any
security for the account of such client, without disclosing to such client in writing before
the completion of such transaction the capacity in which he is acting and obtaining the
consent of the client to such transaction.
