authorized, or the dissolution of the corporation authorized,
by the trustee or receiver of the estate of the corporation as
in this Section permitted, the articles of amendment, articles
of reduction, articles of amendment and reduction, agreement
of consolidation, agreement of merger, stock issuance state-
ment or articles of dissolution, as the case may be, may be
signed and acknowledged in the name and on behalf of the
corporation by such trustee or receiver, and no other execu-
tion, acknowledgment or affidavit on its behalf shall be re-
quired.

SEC. 3. And be it further enacted, That Sections 103, 104,
105, 107, 108, 109, 116, 117, 118, 119, 120, 121, 125, 216 and
345 of Article 23, Section 162 of Article 56 and Section 31 of
Article 73 of the Annotated Code of Maryland (Edition of
1924 and 1935 Supplement) be and the same are hereby re-
pealed.

SEC. 4. And be it further enacted, That thirteen new sec-
tions be and they are hereby added to Article 23 of the Anno-
tated Code of Maryland (Edition of 1924), said sections to be
known respectively as Sections 103, 104, 105, 107, 108, 109, 116,
117, 118, 119, 121, 122 and 124, and to read as follows:

PROCESS.

103. As used in Sections 103 to 109, both inclusive, of this
Article,

(1) the phrase "corporation of this State" shall mean
every corporation, association or joint stock company formed
or existing under the statute or common law of this State;

(2) the phrase "principal office" shall mean a principal
office the location of which is recorded or filed in the office
of the State Tax Commission as required or permitted by any
provision of this Article; and

(3) the phrase "resident agent" shall mean a resident agent
whose name and address in this State are recorded or filed in
the office of the State Tax Commission as required or per-
mitted by any provision of this Article.

104. (a) Every corporation of this State and every for-
eign corporation subject to suit in this State may be sued
in any, county or in the City of Baltimore, as the case may be,
where its principal office in this State is located, or where
it regularly does business, or in any local action where the
subject matter thereof lies.

(b) If any corporation of this State or any foreign corpora-
tion subject to suit in this State has no principal office in this
State and is not regularly doing business in any county of this
