officer of the company, for making all contracts which
shall be necessary to effect the purposes contemplated
by this act, and for settling all accounts of the company,
to provide for furnishing stockholders certificates
or other evidences of their rights to stock, and
for the transfer of stock, and evidences of such transfer,
and to pass all such by-laws as shall be proper and
necessary for exercising all the powers, rights and privileges,
vested n the company hereby incorporated, or
in the said managers, or for the performance of the duties
required of them by this act, and the said by-laws
from time to time to alter or repeal, subject nevertheless
to the revision of the stockholders, at a general meeting,
as is hereinbefore provided; and said managers shall
keep minutes of all their proceedings fairly entered in a
book to be kept for that purpose.

SEC. 9. And be it enacted,
That the said company
are hereby invested with all the rights and powers necessary
for the construction of a plank road from Elkton
by way of Cherry Hill, Andora and Fair Hill, in Cecil
county, northward to the Pennsylvania State line, at or
near Lewisville, in Chester county, Pennsylvania;
Provided, that the said company may with the consent
of the commissioners of Cecil county, use the bed of
the public road from Elkton to Cherry Hill, Andora,
Brick Hill, and from thence to the State line, in the
direction of Lewisville aforesaid, or so much thereof as
they may find necessary; and the said commissioners
of Cecil county are hereby authorised, at their discretion,
to negotiate with the said plank road company, for
the use of the said plank road company, of the bed of
the said present public road, and the said commissioners
are hereby authorised to vacate said public road,
in whole or in such parts thereon, as may be required
by the said plank road company for its use.

SEC. 10. And be it enacted,
That the president and
managers of said company may agree with the owners
of land for the purchase of land required for said road,
and also for the purchase of stone, sand, gravel, earth,
timber, or any other material for said road; and in all
cases where they are unable to agree with the owner or
owners, or should the owner be a feme covert, non
compos mentis, or under age, the said president or
managers may apply to a justice of the peace for said
county, who shall thereupon issue his warrant to the
sheriff of the county aforesaid, commanding him to
summon twenty disinterested persons, qualified to act
as jurors in the circuit court, to meet upon the land;
after four are stricken off the panel by the president or
