be filled for the remainder of the year by such person as the
board of managers, for the time being, or a majority of them,
shall appoint, except the five appointed by the governor, in which
case the governor shall fill the vacancy.

356. If the said annual election and appointment shall not
take place at the times appointed for that purpose, the said corpo-
ration shall not therefor be dissolved, but the members of said
board shall continue in office until a new election and appointment

may tend to exhibit the effects, whether beneficial or otherwise,
of the said association.
