CORPORATIONS. [ART. 26.

state, and all meetings of the directors and stock-
holders of such corporation shall be held within the
limits of this state.

122. Any twelve or more white persons, citizens .
of the United States, and a majority of them citizens
of Maryland, who may desire to form a corporation
for the purpose of organizing any university, college,
or hospital, or any asylum for charitable purposes,
may make, sign and acknowledge, before some officer
competent to take the acknowledgment of deeds, a
certificate ID writing, in which shall be stated the
corporate name of the said university, college, hospi-
tal, or asylum, and the number of the trustees, direc-
tors, or managers, who shall manage the concerns of
the said university, college, hospital, or asylum, and
the name or names of the city or county or counties
in which said university, college, hospital, or asylum,
or any branch or branches thereof may be intended
to be located.

be recorded.

123. The said certificate shall be recorded in the
office for the recording of deeds of the city or county,
or of the city and county or counties, in which the
said university, college, hospital or asylum, or any
branch thereof, may be intended to be located ; and
when the said certificate shall have been so recorded,
the persons who have signed and acknowledged the
same and their successors, shall be a body politic and
corporate la fact and in name, by the name stated in
such certificate, and by that name shall have succes-
sion.

124. They shall, by their corporate name, be capa-
ble in law of receiving and acquiring by grant, de-
