PARTNERSHIPS—LIMITED. 2319

An. Code, sec. 22H. 1918, ch. 280, sec. 22H:

30. (PROVISIONS FOR EXISTING LIMITED PARTNERSHIPS.) (1) A
limited partnership formed under any statute of this state prior to the
adoption of this article, may become a limited partnership under this
article by complying with the provisions of Section 2; provided the certi-
ficate sets forth

(a) The amount of the original contribution of each limited partner,
and the time when the contribution was made, and

(b) That the property of the partnership exceeds the amount sufficient
to discharge its liabilities to persons not claiming as general or limited
partners by an amount greater than the sum of the contributions of its
limited partners.

(2) A limited partnership formed under any statute of this state prior
to the adoption of this article, until or unless it becomes a limited partner-
ship under this article, shall continue to be governed by the provisions
of Article 73, Sections 1 to 22 of Bagby's Annotated Code of Public
General Laws of 1911, except that such partnership shall not be renewed
unless so provided in the original agreement.1

31. Any person or corporation, whether a resident or non-resident
of this State, may sue the Adams Express Company or any other unin-
corporated Stock Company regularly doing business in this State, in the
name in which they regularly carry on business, in any cause of action.
Such suit may be brought in any county or in the City of Baltimore, as
the case may be, where its principal office is located or where it regularly
transacts business, or in a local action, where the subject matter thereof
lies. Process may be directed to the sheriff, constable or other proper offi-
cer of any county or of Baltimore City, returnable to the Clerk of the
Circuit Court out of which or the Justice of the Peace by which the same
was issued, and may be served as follows: If the said Adams Express
Company or other unincorporated Stock Companies authorize and pre-
pare to accept service as provided by Section 119 of Article 23 of Bagby's
Annotated Code of Public General Laws, such process shall be served upon
him; if there is no resident agent so authorized and prepared, process,
may be served upon any president, manager, director or agent, or other
person in the service of the said Adams Express Company or other incor-
porated Stock Company aforesaid. In all cases, however, a copy of the
process shall be left with the person upon whom it is served; and where
process is served upon any person other than the resident agent, president,
director or other officer of the Adams Express Company or other unin-
corporated Stock Company, a copy of the process shall also be left at its
principal office, if any, in the State.1

Annotated Code of Public General Laws of Maryland of 1911 are hereby repealed."
" Nothing herein shall affect sec. 23 (now sec. 31) of said article as enacted by act of 1916,
