Section 19 of said Act specifies as among the corporations
to be created under the provisions of said General Law,
those "For carrying on in this State any kind of manufactur-
ing, ship building, mechanical, industrial or chemical busi-
ness, and for the sale, transportation or other disposition of
the products thereof.''

The Act to incorporate the "Frederick City Superphosphate
Manufacturing Company" states the objects of said corpora-
tion "To be the manufacture and preparation of superphos-
phate of lime and all other fertilizers, the purchase of ma-
chinery and farming implements of all kinds, and the
vending of said articles, for which purpose the said corpora-
tion shall have all necessary power for erecting buildings,
factories, structures and machinery of every kind which
shall be deemed necessary for the carrying on of such opera-
tions, and for the purchase, holding and sale of real estate
in the said county necessary for the operations of said corpo-
ration, and patent rights, and shall have all the rights and
powers which an individual has by law, to transport the
products and proceeds of its property and operations to
market, and shall have all other rights, as to its real estates,
live stock and other personal property, which an individual
owner of like property may lawfully exercise."

The Act of 1868, chapter 471, makes ample provision for
the creation of corporations for the above specified objects,
and, therefore, I think, the special Act passed for the pur-
pose of incorporating "The Frederick City Superphosphate
Manufacturing Company" is void, and feel constrained to
return it for your further consideration.

Which was read.

The Senate then proceeded, as the Constitution provides,
to reconsider the said bill returned by the Governor to the
Senate with his objections, which bill is in the following
words, to wit:

An Act to incorporate the Frederick City Superphosphate
Manufacturing Company.

Section 1. Be it enacted by the General Assembly of Mary-
land, That John S. Ramsburg, Daniel Castle, of T., Joshua
D. Koogle, John P. Heffner, Charles W. Miller and Louis
R. Cochren, and their associates, successors and assigns, be
and they are hereby created a corporation and body politic
by the name and style of "The Frederick City Superphos-
phate Manufacturing Company, and by that name may have
perpetual succession, and shall be able and capable in law to
sue and be sued, plead and be impleaded, answer and be
answered, in any Court of Law or Equity, and to make and
