CHAPTER 463.

AN ACT to incorporate the Woodberry Manufac-
turing Company of Baltimore County.

 

SECTION 1. Be it enacted by the General Assembly
of Maryland, That William E. Hooper, William
John Hooper, Theodore Hooper, James E. Hooper,
and their associates and successors, be and they are
hereby made and constituted a body politic and
corporate by the name of the Woodberry Manu-
facturing Company, and as such shall have suc-
cession and may sue and be sued, implead and be im-
pleaded in any court of law or equity, and may have
and use a common seal, and the same may alter and
change at pleasure, and shall have and exercise all
the powers, rights and privileges which are inci-

dent to a corporation, except as restricted by this
Act, and which, are necessary and proper for man-
ufacturing cotton and other articles and vending
the same, and for the aforesaid purposes may pur-
purchase, hold, lease and use lands, not ex-
ceeding five hundred acres in quantity, and erect
thereon such buildings and improvements as may
be deemed necessary or expedient, and the said
land and improvements, or any part thereof, may
from time to time sell, mortgage, lease or other-
wise dispose of and convey.

Rights and
powers.

Sec. 2. And be it enacted, That the capital stock
of the said corporation shall consist of three hun-
dred shares, one thousand dollars each, to be dis-
tributed amongst said corporators and their asso-
ciates in proportion to their respective interests ;
and such shares shall be deemed and taken to be
personal estate, and shall be transferable only on
the books of the corporation, and in such manner
as may be prescribed by the by-laws thereof; and
the owner of one or more of such shares shall, in
virtue thereof, be entitled at all elections and in
all meetings of the stockholders, to one vote for
each and every share which may be owned by him,
which said votes may be given in person or by
proxy, in such manner as the by-laws may direct,
