LAWS OF MARYLAND.

deemed necessary in and for the erection and fur-
nishing complete in every particular a first-class
Hotel near to or in the town of Berlin ; and also a
a first-class Hotel at some suitable point on the sea

Proviso.

shore, to be hereafter decided by the President and
Directors ; provided the point selected be not over
eight miles from the town of Berlin ; to construct,
use, rent, lease, hire, or purchase lots, land,
houses, and buildings, for the use and erection of
said first-class Hotel, and may sue and be sued,
plead and be impleaded, answer and defend, and
be answered and defended in all courts of law and
equity, and may have and use a common seal,
which they may alter or renew at pleasure, and
do every act or thing necessary to carry into work-
ing effect the provisions, objects, purposes and de-
sires of this Act.

Subscriptions
to the Atlantic
Hold Co.

Sec. 2. And be it enacted, That the said parties,
as heretofore named, Lemuel Showell, James C.
Dirickson, Henry B. Johnson and B, Jones Taylor,
or such two or three as shall agree or be author-
ized, make, take, and receive subscriptions to the
Capital Stock of said Atlantic Hotel Company, on
such terms as they or a majority of them may de-
signate or choose, in shares of twenty dollars each,
to any amount not exceeding five thousand shares,
and until an election of officers shall have been ;
made, as hereinafter provided for, the said Lemuel
Showell, James C. Dirickson, Henry B. Johnson
and B. Jones Taylor, or a majority of them, shall

have and may exercise all the corporate powers
and rights of the Atlantic Hotel Company, of Ber-
lin, and shall manage the affairs and transact the
business of said Company, until the first annual

meeting, hereinafter provided for, and until an
election of officers shall have been made in the
manner directed by the by-laws of said Company,
hereinafter provided for.

Directors.

Sec. 3. And be it enacted, That the members of
said Company shall meet on the first Monday of
April, eighteen hundred and sixty-eight, in the ;
town of Berlin, and annually thereafter on the
same day of each year, or at such other time and
place as the by-laws and regulations of the said
Company may appoint, whereof public notice of at
least ten days shall be given ; and a majority of !'
