CHAPTER 522.
AN ACT to incorporate "The Southern Commercial Agency."

SECTION 1. Be it enacted by the General Assembly of Mary-
land, That Thomas S. Hodson, Howard S. Hodson, T. Sher-
wood Hodson, Jr., John K. Wimbrough and Eli M. Shilling,
all of Baltimore City, and their successors shall be, and are
hereby made and constituted a body corporate by the name
and style of "The Southern Commercial Agency," and as such

shall be capable in law to conduct a Collection Agency and to
collect claims, notes, drafts and other instruments, negotiable
or otherwise, and to prosecute or sue the same, either person-
ally or by attorneys to be designated by it. To report on the
financial standing of firms and individuals to their subscribers
and others entitled to receive the same. To designate attor-
neys at other points in any of the United States or foreign
countries, with such powers and duties, relating to the afore-
said claims, notes, etc., as may be assigned to them by the
corporation or agreed upon between the corporation and the
creditors. To publish a list of such attorneys and the afore-
said rules governing their appointment, terms of representa-

tion and other information for the use of subscribers and
others. In addition to the general powers conferred by the
law on corporations it shall have power to acquire the good-
will, rights and property of any person, firm, association or
corporation in the same or any kindred business, and to hold
. or dispose of the same and to consolidate the property and
business so acquired with the business of this corporation, or
to conduct same and exercise all the power necessary or con-
venient in or about the management of the said business.

SEC. 2. And be it enacted, That the affairs of the said cor-
poration shall be managed for the first year by the aforesaid
Thomas S. Hodson, Howard S. Hodson, T. Sherwood Hod-
son, Jr., John K. Wimbrough and Eli M. Shilling, of Balti-
more City, as a board of directors, or until their successors
are duly elected and qualified. After the first year the direc-
tors shall be elected by the shareholders, comprising this
