CHAPTER 607
(Senate Bill 540)

AN ACT to add Section 8(c) to Article 23 of the Annotated Code of
Maryland (1951 Edition and 1954 Supplement), title "Corpora-
tions", sub-title "formation of Corporations", to follow imme-
diately after Section 8 (b) thereof, providing for the principal office
and resident agents of corporations and further providing for the
method of notifying the State Tax Commission of the change of
address of a resident agent or principal office of a corporation; and
to repeal and re-enact, with amendments, Sub-section (a) (1) of
Section 126 of Article 23 of the Annotated Code of Maryland (1951
Edition and 1954 Supplement), title "Corporations", sub-title "Re-
cording and Filing with State Tax Commission", providing for the
fees to be charged for the recording and for the filing of certain
instruments enumerated therein.

SECTION 1. Be it enacted by the General Assembly of Maryland,
That a new section be and it is hereby added to Article 23 of the
Annotated Code of Maryland (1951 Edition and 1954 Supplement),
title "Corporations", sub-title "formation of Corporations", said new
section to be known as Section 8(c), to follow immediately after
Section 8(b) thereof, and to repeal and re-enact, with amendments,
Sub-section (a) (1) of Section 126 of Article 23 of the Annotated
Code of Maryland (1951 Edition and 1954 Supplement), title "Cor-
porations", sub-title "Recording and Filing with State Tax Com-
mission", and all to read as follows :

8. (c) If the resident agent of one or more corporations shall
change his post office address from one place within the State of
Maryland to another place within this State, such resident agent may
notify the Commission of said change of address by filing for record
with the Commission a statement of such change signed by or on
behalf of such resident agent. Such statement shall set forth the
name of the corporation, or names of the corporations, in respect
of which such change of address shall be effective, shall state the old
address and the new address of the resident agent, and shall state
the date as of which such change of address for the resident agent is
to be effective. In the event the post office address of the principal
office of any such corporation in this State is the same as the post
office address of the resident agent, the said statement may also
include a change of address for the principal office of the corporation
in this State, provided, in such case that the resident agent shall have
notified the corporation in writing that said statement will be filed
and that the statement sets forth that such notice in writing has
been given by the resident agent to the corporation. Such change of
post office address of the resident agent, or change of the post office
address of the resident agent and of the principal office, shall become
effective upon the acceptance for record by the Commission of the
statement.
