The net profit of, of which a part of the

late dividend was declared in bonds of the

company, cannot he regarded as a loan by the

stockholders to the company but a conver-

sion by the latter of a portion of the ret pro-

fit, which ought not to have been applied to

construction, without consent of stockholders,

but to have been distributed in cash amongst

them in their proportionate shares.

The State protests against right of said

company to apply net revenues to construc-

tion as illegal and contrary to present inter-

est of the State.

In declaring said dividend an illegal dis-

crimination was mode to the prejudice of the

State.

That the treasurer in refusing to receive

said dividend acted in the faithful discharge

of his duty.
