or as amended or supplemented by special act of the General
Assembly, by articles of amendment, by articles of amendment
and reduction, by articles supplementary, or by articles or
agreements of merger, or by articles of revival.

(2) "Charter Paper" means any of the charter documents
enumerated in paragraph (1) of this section, and articles of
reduction, articles or agreements of sale, lease, exchange or
other transfer, articles of dissolution, and stock issuance
statements.

(3) "Clerk of Court" means Clerk of the Circuit Court for
a county or Clerk of the Superior Court of Baltimore City.

(4) "Commission" means State Tax Commission.

(5) "Convertible securities" includes shares of stock which
by their terms are convertible into shares of stock of one or
more classes, and obligations which by their terms are con-
vertible into shares of stock of one or more classes of the
corporation.

(6) "Corporation of this State" means a corporation organ-
ized and existing under the laws of the State of Maryland.

(7) "County" includes Baltimore City.

(8) "Director" means any member of the governing body
of the corporation, whether designated as director, trustee,
manager or by any other title.

(9) "Post office address" includes the street and number,
if any, county or city, and state and, if outside the United
States, the country.

(10) "Principal office" means the place filed or recorded
with the Commission as the principal office of the corporation
in this State; and, when no principal office is so designated,
it shall be deemed to be the place at which is actually situated
the main office of the corporation in this State for the trans-
action of business.

(11) "Resident agent" means an individual actually resid-
ing in this State or a corporation of this State, designated as
such, whose name and post office address in this State are
recorded or filed with the Commission, in accordance with the
provisions of this Article.

(12) "Stated capital" means the sum of—

(a) In the case of shares having par value, the aggregate
par value of all such shares at the time issued or subscribed
for; and
